Missing pieces? Send what you have. Part of the workup is the list of what you should demand from the seller and what it means if you can't get it.

The twelve questions

The documents are half the workup. This is the other half.

The paperwork tells me what the seller wrote down. These questions tell me what happened around the paperwork: what got said out loud, what you asked for and never got, what you saw with your own eyes. None of that is in the sales packet, and all of it changes how I read the sales packet.

Short answers are fine, a sentence or two each. If you don't know, write "don't know." That's an answer too, and sometimes it's the one that matters.

Bigger revenue claims. "The books don't show everything." "The slow season is no big deal." "That traffic dip is temporary." Promises about customers staying.

Straight answer, delay, subject change, irritation?

In person for a physical business. Live inside the dashboards, not screenshots, for an online one. If you haven't yet, say so.

A big customer, a platform or ranking, a supplier, a key employee, the owner's personal relationships. Held by a contract, a handshake, or a friendship?

Vehicles, equipment, inventory, real estate. SBA loan, seller note, cash.
